Tokenization brings the transparency and efficiency of distributed-ledger technology to conventional securities — without changing their legal character. A "digitally enhanced security" is the same as a traditional uncertificated security for corporate and securities-law purposes, with added technology elements that let investors view record ownership on a distributed ledger.
Through our arrangement with tZERO, eligible customers can participate in private-market offerings and secondary trading that were historically difficult to access — within an SEC- and FINRA-regulated framework.

Primary offerings
Eligible accredited investors can access private-market capital raises across multiple exemptions, brought to market through tZERO's regulated platform and introduced through your Eddid account.

Regulation A Offerings
Exempt public offerings that allow a broader base of investors to participate in earlier-stage companies, subject to applicable limits.
Regulation D Offerings
Private placements offered to accredited investors under Rule 506, a core channel for private-company capital formation.
Regulation Crowdfunding
Community-based offerings that open participation in early-stage issuers within the Reg CF framework.
Tokenized Private Assets
Exposure to real-world assets and private-market opportunities historically limited to institutions, made accessible through tokenization.
Availability of any particular offering depends on the issuer, the applicable exemption, and investor eligibility. Offerings are made through tZERO's platform pursuant to the offering materials for each transaction. Nothing here is an offer to sell or a solicitation of an offer to buy any security.
Secondary trading on the ATS
tZERO Securities operates an SEC- and FINRA-regulated alternative trading system (ATS) for digitally enhanced securities and digital asset securities. Introduced customers can seek liquidity across multiple trading mechanisms within one regulated venue.
Continuous Trading Order Book
A fully automated, continuous matching engine that executes firm orders on a price-time priority basis.
Crossing Order Book
Auctions and privately negotiated transactions, with orders matched against designated contra-orders.
Extended Trading Hours
The ATS supports continuous-book transactions across an extended daily window on business days.
Market Data & Transparency
Real-time or near-real-time transaction and order data support price discovery within the venue.

The ATS executes on an agency-cross basis; tZERO Securities does not engage in principal or riskless-principal trading. Order types, hours, and mechanisms are governed by tZERO Securities' Trading Rules. Digital securities may be illiquid and there is no assurance a trade can be executed at any given time or price.

Digital custody, purpose-built.
Digital asset securities are custodied by tZERO Digital Asset Securities, LLC ("tZERO Digital"), a special-purpose broker-dealer, pursuant to a separate, direct account each customer must open with tZERO Digital. Custody and clearance are governed by the SEC's Statement on the Custody of Digital Asset Securities by Broker-Dealers.

Products and secondary trading are offered through tZERO Securities, LLC and tZERO Digital Asset Securities, LLC, each an SEC-registered broker-dealer and member of FINRA and SIPC. Certain products are available only to eligible accredited investors.

Valuation uncertainty
Prices for private and digital securities may be uncertain and can differ materially from any reference price.
SIPA protection
For digital asset securities, the protections of the Securities Investor Protection Act may not apply.
Digital securities available through our platform are securities, and differ from unregistered digital assets such as cryptocurrencies and initial coin offerings. For investments in Regulation A, D, or Crowdfunding primary offerings, a processing fee of up to 7% of your investment commitment applies. Certain third-party technology and payment-processing fees may be passed through.
